Terms of Use and Participant Agreement

Please read before purchasing These Terms govern your use of this website and all Stratton Wellington Institute programs and materials. By purchasing, accessing, or using any Program Material you agree to be bound by these Terms. All sales are final. See our Refund Policy for details.

Section 1: Acceptance of Terms

These Terms of Use and Participant Agreement (Terms) constitute a legally binding agreement between you (Participant) and Stratton Wellington Institute LLC, an Indiana limited liability company (the Institute). These Terms govern your use of this website and your access to and use of all programs, courses, materials, frameworks, documents, software, and other content provided by the Institute (Program Materials).

By purchasing, accessing, or using any Program Materials, or by using this website, you accept these Terms in their entirety. If you do not agree to these Terms, do not purchase, access, or use any Program Materials.

Section 2: Digital Product Purchase Policy

2.1 All Sales Final

All purchases of Program Materials are final. The Institute does not offer refunds, exchanges, or credits for any digital program, course material, framework, document, or downloadable content after payment is completed. This policy applies regardless of whether the Participant has accessed, opened, downloaded, or reviewed the purchased material. The complete policy, including how technical access problems are handled, is stated in our Refund Policy.

2.2 Pre-Purchase Questions

If you have questions about whether a program is right for you, contact info@strattonwellington.com before purchasing. A real person answers every email.

2.3 Pricing

All programs on this website are priced in US dollars as listed on each program page. Applicable taxes are calculated and collected at checkout by our Merchant of Record. Pricing may differ between the Institute's storefronts; the price shown at checkout is the price that applies to your purchase.

Section 3: License Grant and Restrictions

3.1 Single-User License

Upon completed purchase, the Institute grants the Participant a personal, non-exclusive, non-transferable, revocable license to download and use the purchased Program Materials for the Participant's own individual education and professional development. There is no expiry date on this license for individual use.

Organizations wishing to deploy Program Materials for multiple employees or team members must purchase a corporate license. Contact info@strattonwellington.com for corporate license pricing and terms. Individual purchases do not authorize organizational or team use.

3.4 Termination of License

The Institute may immediately terminate the Participant's license without refund upon any breach of these Terms, including unauthorized reproduction or distribution of Program Materials.

Section 4: Intellectual Property

4.1 Ownership

All Program Materials, including but not limited to course content, exercises, frameworks, methodologies, practice tests, flashcards, scenario data, assessments, templates, and all SW branded frameworks, are the exclusive intellectual property of their creator and are licensed to Stratton Wellington Institute LLC. All rights are reserved. Purchase of Program Materials does not transfer any intellectual property rights to the Participant.

4.2 SW Proprietary Frameworks

The named SW frameworks, including but not limited to the SW Four-Part Prompt Structure, SW AI Role Audit, SW SAFE Decision Protocol, SW Harm Horizon Model, SW Voice Extraction Method, SW Human-AI Division of Labor Map, SW Learning Experience Design Framework, SW AI Value Stack, SW AI Canvas, SW AI Radar, and all other SW branded frameworks and methodologies, are proprietary intellectual property. Participants may apply these frameworks in their own professional work. Participants may not teach, publish, sell, or distribute these frameworks as their own without prior written authorization.

4.3 Participant Work Product

Work product created by the Participant in completing program exercises, including audits, plans, proposals, and assessments completed using program frameworks, belongs to the Participant. The frameworks used to create that work product belong to the Institute.

Section 5: Payments and Billing

5.1 Merchant of Record

Purchases on this website are processed by Paddle.com Market Ltd. or its affiliates (Paddle), acting as Merchant of Record. Paddle handles checkout, payment processing, applicable sales tax and VAT collection and remittance, and billing support. Your order confirmation and receipt are issued by Paddle.

5.2 Payment Information

The Institute does not collect or store payment card details. Payment information is handled by Paddle under Paddle's own terms and privacy policy, available at paddle.com.

5.3 Billing Inquiries

Billing questions related to a completed transaction may be directed to Paddle through the contact details on your receipt, or to info@strattonwellington.com and we will assist.

Section 6: Data Privacy

The Institute collects only the information necessary to process purchases, deliver Program Materials, issue credentials, and communicate with Participants. The Institute does not sell personal data to third parties. Our data practices are designed to comply with applicable data protection requirements, including Panama Law 81 of 2019, Colombia Law 1581 of 2012, Brazil LGPD (Law 13.709/2018), Chile Law 19.628, and Mexico LFPDPPP, where applicable to our operations and Participants. Full details, including your rights regarding your personal data, are set out in our Privacy Policy.

Section 7: Credentials and Certificates

7.1 Certificate Pathway

Certificates with documented CEU and CPD Points are issued upon successful completion and grading of the program capstone. Completed capstones are submitted to certs@strattonwellington.com with the Participant's name, program code, and organization. Certificates are issued within 5 business days of grading. 1 CEU equals 10 CPD Points equals 10 hours of structured learning.

7.2 Accuracy of Submitted Information

Participants are responsible for the accuracy of the name and details submitted for certificate issuance. Certificates are issued to individuals, not organizations, and reflect the Participant's own completed work.

7.3 Academic Integrity

Capstone submissions must be the Participant's own work. Submissions found to be plagiarized, fabricated, or completed by another party may be rejected without refund, and issued credentials may be revoked.

Section 8: Website and Luma Assistant Use

This website and the Luma learning assistant are provided to help you evaluate, purchase, and complete SWI programs. You agree not to misuse the website or Luma, including attempting to disrupt the service, extract system configurations, or use the assistant for purposes unrelated to SWI programs. Luma provides educational guidance only; its responses do not constitute legal, financial, medical, or other professional advice and do not modify these Terms.

Section 9: Disclaimers and Limitation of Liability

9.1 Educational Purpose

Program Materials are provided for educational and professional development purposes only. They do not constitute legal, financial, medical, regulatory, or professional advice. Participants should consult qualified professionals for advice specific to their situation.

9.2 No Warranty

Program Materials and this website are provided as is, without warranty of any kind. The Institute does not warrant that Program Materials are error free, complete, or suitable for any particular purpose, or that the website will be uninterrupted or error free.

9.3 Limitation of Liability

To the maximum extent permitted by applicable law, the Institute's total liability to any Participant for any claim arising from these Terms or use of Program Materials shall not exceed the amount paid by that Participant for the specific program at issue.

Section 10: General Provisions

10.1 Governing Law

These Terms are governed by the laws of the State of Indiana, United States. Disputes shall be resolved in Hamilton County, Indiana.

10.2 Entire Agreement

These Terms, together with the Privacy Policy and Refund Policy, constitute the entire agreement between the Participant and the Institute regarding the purchase and use of Program Materials.

10.3 Updates to Terms

The Institute may update these Terms at any time. Updated Terms apply to purchases made after the effective date of the update. Prior purchases are governed by the Terms in effect at the time of purchase.
